About the job

You will bring sound judgment, curiosity and a continuous-improvement mindset to complex work that supports employees, executives, shareholders and the Board.

Responsibilities

  • Lead day-to-day administration of employee equity incentive plans, ensuring accurate grant, vesting, dividend and special transaction processing across U.S. and international programs.
  • Own vendor relationships with Fidelity and Computershare. Monitor service levels, billing and budget priorities, resolve operational issues and recommend contract or process improvements.
  • Protect regulatory compliance by reviewing Section 16 Forms 3 and 4, NYSE filings, 10-K exhibits and executive trading activity, including preclearance and 10b5-1 plan support.
  • Manage the Restricted Persons List and evaluate trading requests with the Office of the Corporate Secretary, escalating complex or high-profile matters when needed.
  • Strengthen financial controls and reporting by reviewing monthly and quarterly analyses, including stock data, equity and tax expense analyses, GAAP and STAT reconciliations, journal entries, Sarbanes-Oxley testing and auditor requests.
  • Partner with Legal on the annual proxy statement and review executive and director compensation tables, footnotes, tally sheets and Board compensation processes.
  • Support the Board of Directors compensation process, including quarterly statements, the Director Fee System and year-end 1099-MISC reporting.
  • Guide equity-related tax compliance, funding, custom reporting and projections in partnership with Global Mobility, Corporate Tax, Treasury and local payroll teams.
  • Contribute to long-term incentive design through share-usage, burn-rate and dilution analysis. Track market and regulatory developments and recommend practical changes.
  • Lead stock-related work for mergers, acquisitions, corporate actions and other special projects, and serve as a trusted advisor to HR, Legal, Employee Relations, employees and shareholders.

Required Qualifications

  • At least 7 years of experience in stock plan administration, compensation, finance or accounting, including at least 2 years leading projects or complex workstreams.
  • Working knowledge of SEC and NYSE requirements, Section 16 reporting and executive trading compliance.
  • Experience with equity accounting, Sarbanes-Oxley controls, financial reporting and general ledger reconciliations.
  • Strong analytical, project, vendor and change management skills, with the judgment to review work, manage risk and protect confidential information.
  • Clear written and verbal communication skills and the ability to influence partners across Legal, Finance, Tax, Payroll and senior leadership.
  • Advanced Microsoft Excel skills.

Preferred Qualifications

  • Bachelor's or master's degree in finance, accounting, business, human resources or a related field.
  • Certified Equity Professional (CEP) certification.
  • Hands-on experience with employee equity plans, Workday and Fidelity stock plan administration.
  • Experience supporting proxy disclosure, Board compensation, international equity tax or stock-plan activity related to mergers and acquisitions.
